1. Acceptance of these terms

These Terms and Conditions (“Terms”) apply to your use of zoatix.com and to all services provided by Zoatix. By using our website or accepting a quote or proposal from us, you agree to these Terms. If a signed proposal or agreement says something different, that document will take priority for that project.

2. Our services

Zoatix provides web development, WordPress development, SEO, digital marketing, software development and AI/ML services. The exact scope, deliverables, timeline and price of each project are set out in the quote or proposal we share with you.

3. Quotes and proposals

Quotes are based on the information you provide and are valid for 30 days unless stated otherwise. Work that is not included in the agreed scope is treated as additional work and will be quoted separately.

4. Payment terms

• Unless agreed otherwise in writing, a 50% advance payment is required before work begins.
• The remaining balance is due before final delivery, launch or handover of files and access.
• Larger projects may be split into milestones, each with its own payment.
• Monthly services such as SEO or digital marketing are billed in advance for each billing period.
• Invoices are payable within 7 days of issue. If payment is late, we may pause work until it is received.
• Prices do not include taxes or third-party costs such as domains, hosting, premium themes or plugins, software licences and advertising spend, unless clearly stated.
• Payments can be made through the methods listed on our website. Payment details are shared only after your quote is confirmed.

5. Your responsibilities

To keep your project on schedule, you agree to provide content, images, feedback, approvals and any access details we need in good time. Delays in providing these may change the timeline. You confirm that you have the rights to any material you provide to us.

6. Timelines and revisions

We will make every reasonable effort to meet agreed timelines. The number of revision rounds included is set out in your proposal. Additional changes, or changes after approval, may be charged as extra work.

7. Ownership and intellectual property

Once the project has been paid for in full, you own the final deliverables created specifically for you, such as your website design, content we write for you and custom code. Zoatix keeps ownership of its pre-existing tools, code libraries, methods and know-how. Third-party themes, plugins, fonts, images and software remain subject to their own licences.

Unless you ask us not to, we may show completed work in our portfolio and marketing.

8. Confidentiality

We keep your business information, login details and project materials confidential and use them only to deliver our services. We are happy to sign a separate non-disclosure agreement if needed.

9. Third-party services

Our work may rely on third-party platforms such as hosting providers, WordPress plugins, Google, social media platforms, advertising networks and payment providers. We are not responsible for their downtime, policy changes, price changes or decisions, such as account suspensions or algorithm updates.

10. No guarantee of results

We use proven methods and our best professional judgement, but search engine rankings, website traffic, leads, sales and advertising results depend on factors outside our control. We do not guarantee any specific ranking, traffic level or business outcome.

11. Support and maintenance

Any free support period after launch is set out in your proposal. Ongoing maintenance, updates, backups and support after that period are available as a separate paid service.

12. Limitation of liability

To the extent permitted by law, Zoatix is not liable for indirect or consequential losses such as loss of profit, revenue, data or business opportunity. Our total liability for any claim relating to a project is limited to the amount you paid us for the specific service that gave rise to the claim.

13. Termination

Either party may end a project with written notice. If a project ends early, you agree to pay for work completed up to that point, and refunds are handled under our Refund & Cancellation Policy. We may stop work if invoices remain unpaid or if these Terms are seriously breached.

14. Use of our website

You agree not to misuse our website, including attempting to gain unauthorised access, introducing malicious code or copying our content without permission. Website content is provided for general information; please also read our Disclaimer.

15. Governing law

These Terms are governed by the laws of India. Any dispute will be subject to the jurisdiction of the courts of West Bengal, India. We encourage you to contact us first so we can try to resolve any issue informally.

16. Changes to these terms

We may update these Terms from time to time. The version on this page at the time you accept a quote applies to that project.
